This Payroll Services Agreement governs payroll-related services provided by MMALI Financial Services LLC d/b/a WagePress. It applies when a Customer enrolls in payroll services, submits payroll information, authorizes payroll processing, or funds payroll through the WagePress platform.
1. Services
- Payroll calculation and payroll run administration.
- Gross-to-net calculations based on Customer-provided information and configured settings.
- Employee and contractor payment instructions, including direct deposit where enabled.
- Payroll reports, employee self-service access, paystubs, and related records.
- Payroll tax calculation support and tax filing workflows when enabled.
- Integration with authorized third-party accounting, time tracking, payment, and tax systems.
2. Customer Responsibilities
- Classify workers correctly as employees or contractors and determine exemption status, work locations, pay rates, schedules, deductions, benefits, garnishments, reimbursements, and paid time off policies.
- Provide accurate, complete, and timely company, employee, tax, banking, and payroll data.
- Review and approve each payroll before processing, including pay amounts, taxes, deductions, bank accounts, dates, and recipients.
- Maintain sufficient funds before payroll funding deadlines.
- Obtain and retain required employee consents, tax forms, direct deposit authorizations, and wage/hour records.
- Comply with federal, state, and local employment, wage, tax, benefits, garnishment, leave, privacy, and recordkeeping laws.
3. No Employer Role
WagePress is not the employer, joint employer, co-employer, professional employer organization, employee leasing company, staffing agency, fiduciary, plan administrator, or employer of record for Customer or Customer's workers. Customer retains all employer obligations and control over hiring, firing, supervision, wages, hours, benefits, policies, discipline, classification, and compliance.
4. Payroll Approval and Processing
Payroll must be submitted and approved before applicable cutoffs. WagePress may reject, delay, suspend, or reverse payroll if information is missing, funds are insufficient, fraud is suspected, banking partners require review, or processing would violate law, network rules, or service terms.
5. Taxes and Filings
Payroll tax calculations and filing services depend on Customer's accurate information, authorizations, tax account setup, agency approvals, sufficient funds, and timely approvals. WagePress does not guarantee that any agency will accept a filing or payment, and Customer remains responsible for reviewing all filings and satisfying all obligations.
6. Corrections
Customer must promptly notify WagePress of errors. Corrections, amendments, reversals, voids, stop payments, amended returns, or agency notices may require additional fees and may not always be available. Customer is responsible for penalties, interest, assessments, or losses caused by Customer-provided information, late approvals, insufficient funds, incorrect authorizations, or Customer's failure to review.
7. Incorporation
This Payroll Services Agreement supplements and is incorporated into the Terms and any Client Signup Agreement or order form. If there is a conflict, the more specific payroll term controls for payroll services.
